Data room

A data room. Not a shared folder.

The counterparty needs to read the material, without access to the rest. Four permission levels, a log of every attempt, and a watermark that would rather refuse the file than send it unmarked.

Permissions

Four levels, not a switch.

A guest can view, download, upload or manage. A higher level includes the ones below it. A folder outside the grant is absent from the guest's view, so a guessed address does not reveal what else the room holds.

The log

Who tried to fetch what.

The log has 18 action types. A rejected attempt is its own line, because that is the evidence the boundary held. You can see logins, views, downloads, uploads, searches, prints and exports, and you can see what was refused.

  • A line cannot be deleted or edited afterwards

Watermark

Rather refuse than send it unmarked.

When the watermark is on, the copy carries the guest's email, the date and the word confidential. If the file cannot be marked, the request is refused. The original is not sent. PDFs and images are marked as they are. Other formats download as a marked PDF, or are refused when none exists.

A separate entrance

The guest sees only the room.

The external party has its own middleware chain, with no organisation and no team. The firm's menu, users and permissions do not travel with them. There is no tenant context to land in, and therefore no other matter to open.

Keep the files apart

The room's files sit in their own store, not in the matter's ordinary documents. Uploads are scanned before anything is saved.

Invite with a level

The guest gets a link and one of the four levels. An NDA can stand in front, so nothing is shown until it is signed. The room can also be limited to specific addresses.

Follow the log

Views, downloads and rejected attempts are written down. Rules flag mass downloads, a whole tree, activity outside office hours and an address the invitation has not used before.

Close when the matter ends

A closed room no longer answers. No address is issued that keeps working on the side.
